Board of Directors
The governance and strategic direction of El Merriekh Sporting Club are overseen by its Board of Directors. This body is fundamental to the club’s operations, steering it towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure the nonprofit has adequate resources to advance its mission.
Composition
The Board of Directors is composed of a minimum of five and a maximum of seven members. These individuals are chosen for their diverse skills, professional backgrounds, and commitment to the club’s development and success. The board includes the positions of President, Vice President, Treasurer, Secretary General, and various executive directors responsible for different aspects of the club’s operations.
Roles and Responsibilities
- President: Provides leadership to the board and oversees the execution of its governance functions. Ensures that board resolutions are carried out and communicates effectively with the vice president and other board members.
- Vice President: Supports the president and assumes the president’s duties in his or her absence. Oversees critical projects and ensures that board directives are implemented effectively.
- Secretary General: Maintains the records of the board and ensures effective management of organization’s records. Manages minutes of board meetings and ensures minutes are distributed to members shortly after each meeting.
- Treasurer: Manages the board’s review of, and action related to, the board’s financial responsibilities. Works with the president to ensure that appropriate financial reports are made available to the board on a timely basis.
- Executive Directors: Participate in board meetings and contribute to the strategic planning processes. They oversee specific committees and projects aligned with the club’s strategic goals.
Meetings
The Board of Directors meets at least three times per annum during the playing season and as needed thereafter. Meetings are structured to ensure efficient and effective discussion and decision-making. The agenda typically includes strategic discussions, governance matters, financial updates, and other club-related business.
Powers of the Board
The Board has the authority to:
- Make decisions related to the club’s strategic direction, policy, and practices.
- Approve the annual budget and audit reports.
- Fill vacancies in the board or any committee.
- Appoint subcommittees as necessary for the functioning of the club.
- Oversee all club operations and activities.
Accountability
The Board of Directors is accountable to the club’s members. They must report on their actions and decisions, particularly regarding financial management and strategic direction, during the Annual General Meeting (AGM). The AGM provides a platform for members to receive updates and participate in discussions about the club’s progress and future plans.
